Governance

The Australian Dental Anxiety Management Society Ltd (ADAMS) is a not-for-profit company limited by guarantee established to improve access to dental care for people affected by dental anxiety, dental fear, dental phobia, trauma, neurodivergence, sensory sensitivities, disability, and other barriers to care. ADAMS operates in accordance with its Constitution, the Corporations Act 2001 (Cth), and applicable Australian charity and not-for-profit governance requirements.

Board of Directors

ADAMS is governed by a Board of Directors responsible for the strategic direction, governance, financial stewardship, and oversight of the organisation.

The current Directors are:

  • Dr Trent Davidson, a dentist at Mindset Dental in Brisbane

  • Dr Helen Fisher, a dentist at Mindset Dental in Brisbane

  • Georgia Campbell, a Brisbane-based commercial litigation lawyer with experience in governance, regulatory compliance, and organisational risk management.

The Board is responsible for ensuring that ADAMS remains focused on its charitable purpose, operates responsibly, and delivers meaningful benefit to the community. Directors are appointed in accordance with the Constitution and are required to act in the best interests of the organisation at all times.

Secretary and Public Officer

The Secretary and Public Officer of ADAMS is:

  • Dr Trent Davidson

The Secretary is responsible for maintaining corporate records, supporting Board governance processes, ensuring compliance with statutory obligations, and facilitating communication between the Board and members.

ADAMS is committed to:

  • Responsible financial management

  • Compliance with legal and regulatory obligations

  • Management of conflicts of interest

  • Evidence-based practice and public benefit

  • Continuous improvement in governance standards

Directors are required to disclose actual, perceived, or potential conflicts of interest and comply with all duties imposed by company and charity law.

Not-for-Profit Status

ADAMS operates on a not-for-profit basis. Any income or assets of the organisation are applied solely towards advancing the organisation's charitable purposes. No profits or surplus funds are distributed to members or directors.

Financial Oversight

The Board is responsible for ensuring appropriate financial controls, budgeting, reporting, and accountability mechanisms are maintained. Financial records are kept in accordance with legislative requirements and audited where required by law.

Committees and Advisory Groups

The Board may establish committees, advisory groups, and working groups to assist with governance, research, education, lived-experience engagement, professional development, and other activities that support the mission of ADAMS. These groups operate under the oversight of the Board.
